兩單詞均有“轉(zhuǎn)讓”的含義。區(qū)別在于negotiability主要用于指事業(yè)票據(jù)議付形成的轉(zhuǎn)讓;而assignability則主要用于指合同的轉(zhuǎn)讓。negotiability所指的轉(zhuǎn)讓為一種完全轉(zhuǎn)讓,受讓人 (assignee)得到票據(jù)所附的一切產(chǎn)權(quán)和權(quán)利,受讓人不必通知債務(wù)人,也不受票據(jù)前手瑕疵之影響。就assignability而言,如果不通知債務(wù)人(debtor),則不能視為是一種完全轉(zhuǎn)讓(not complete)。
“Negotiability ( which pertains to commercial paper) differs from assignability (which pertains to contracts in general) because an assignee traditionally takes title subject to all equities, and an assignment is not complete without notice to the debtor, whereas an endorsee takes free of all equities and without any notice to the debtor. ”Cf.
