d. 債務(wù)人依法將標(biāo)的物提存（A debtor has withdrawn and deposited items according to laws)；
提存是指由于債權(quán)人的原因而無法向債務(wù)人交付合同標(biāo)的物時，債務(wù)人將該標(biāo) 的物提交給提存機(jī)關(guān)而消滅債務(wù)的一項(xiàng)制度。債務(wù)人提存后其債務(wù)歸于消滅，合同即為終止。提存涉及三方主體，即提存人（債務(wù)人）、提存部門和債權(quán)人。
e. 債權(quán)人免除債務(wù)(A creditor has remitted a debt)；
債權(quán)人免除債務(wù)，傳統(tǒng)民法上也稱免除，是指債權(quán)人拋棄債權(quán)，對債務(wù)人為一 方意思表示從而發(fā)生債務(wù)消滅效力的單獨(dú)行為。因債權(quán)人拋棄債權(quán)，債務(wù)人得以免 除其清償義務(wù)，所以免除是使合同的權(quán)利義務(wù)絕對終止的一種方法。
f. 債權(quán)債務(wù)同歸于一人（The rights and debts belong to the same person)；
債的關(guān)系須有債權(quán)人和債務(wù)人同時存在方能成立。當(dāng)債權(quán)人和債務(wù)人合為一人時，債權(quán)債務(wù)就當(dāng)然消滅。法律上將這種情形稱為混同。
g. 法律規(guī)定或者當(dāng)事人約定終止的其他情形（Other conditions according to provisions of laws and agreed by both parties)。
在起草終止條款時，還應(yīng)考慮有關(guān)合同終止后一些善后問題的處理。例如，在技術(shù)轉(zhuǎn)讓合同終止后，受讓方能否繼續(xù)使用所轉(zhuǎn)讓的技術(shù)；合營企業(yè)合同終止后， 財產(chǎn)、債權(quán)與債務(wù)如何清算；代理合同終止后，委托人與代理人如何交接等。請看下例：
【例3】
本合同提前終止或終止后，公司應(yīng)立即對其資產(chǎn)、債權(quán)和債務(wù)進(jìn)行清算。在清算時應(yīng)本著公平負(fù)責(zé)的原則，按合同規(guī)定的清算方式執(zhí)行。
當(dāng)合同終止和/或合資公司即將停業(yè)清算時，董事會應(yīng)制定清算的程序和原則并確定清算委員會成員。清算委員會可聘請?jiān)谥袊缘臅嫀熀吐蓭熑温?并向董事會提出建議。
The liquidation of the Joint Venture's assets and creditor's fights and settlement of the Joint Venturers debts shall be conducted by the Joint Venture Company immediately after the early termination or expiration of this Contract。The liquidation shall be based upon fair and responsible principles and shall be carried out in accordance with the liquidation methods set forth herein.
Upon announcement of the termination of the Contract and/or the pending liquidation of the Joint Venture Company，the Board of Directors shall work out procedures and principles for liquidation and nominate candidates for the liquidation committee The Liquidation Committee may engage the services of accountants and lawyers registered in China for purpose of rendering advice to the Board.
