3.不附履約保證的轉(zhuǎn)讓
【例3】
No party may assign its rights or obligations under this Agreement without the prior written consent of the other parties，which consent shall not be unreasonably withheld， provided that the [ Licensor] may assign this Agreement and its obligations hereunder to any successor to its business by merger or consolidation or to any party acquiring substantially all of the assets of the [ Licensor ] ’s journal business.
參考譯文：未經(jīng)其他方事先書面同意（不得無理拒不給予此種同意），任何一方不得轉(zhuǎn)讓其在本協(xié)議頊下的權(quán)利或義務(wù)。但[許可方]可以將本協(xié)議及其項下的義務(wù)轉(zhuǎn)讓給通過合并方式繼受其業(yè)務(wù)的任何人，或者轉(zhuǎn)讓給取得[許可方]實質(zhì)意義上的全部資產(chǎn)的任何一方。
本例中轉(zhuǎn)讓方?jīng)]有向協(xié)議的其他方擔(dān)保受讓方會履行轉(zhuǎn)讓方的義務(wù)。正如上例中所討論到的一樣，如果轉(zhuǎn)讓方向其他方提供合同將會得到如周轉(zhuǎn)讓沒有發(fā)生過一 般之同樣履行，則在業(yè)務(wù)重組的情形下，不經(jīng)其他方事先同意而進(jìn)行轉(zhuǎn)讓是可以接受的。本條可以使用上例中的措辭進(jìn)行修改：“Provided the assigning party guarantees the performance of and causes the assignee to assume in writing all obligations of the assignor under this Agreement".
4.限制不對等的轉(zhuǎn)讓
【例4】
User may not sublicense, assign or transfer this license or the Licensed Program. Any attempt to sublicense，assign or transfer any of the rights，duties or obligations hereunder is void.
參考譯文：用戶不得將本許可或被許可程序進(jìn)行再許可或轉(zhuǎn)讓。任何企圖再許可或轉(zhuǎn)讓本協(xié)議項下的權(quán)利，責(zé)任或義務(wù)的行為無效。
對于轉(zhuǎn)讓的限制應(yīng)當(dāng)適用于協(xié)議各方——許可方及被許可方。因此，本例是不可接受的，因為它只禁止被許可方轉(zhuǎn)讓，而不限制許可方轉(zhuǎn)讓。
(一）法理與判例
《中華人民共和國合同法》箄79條規(guī)定：“債權(quán)人可以將合同的權(quán)利全部或者部分轉(zhuǎn)讓給第三人，但有下列情形之一的除外（The creditor may transfer all or part of its rights in a contract to a third party，except in any of the following situations) ： ( —）根據(jù)合同性質(zhì)不得轉(zhuǎn)讓（The contract may not be transferred, according to its nature) ； (二）按照當(dāng)事人約定不得轉(zhuǎn)讓(The contract may not be transferred, according to an agreement made by the parties);(三）依照法律規(guī)定不得轉(zhuǎn)讓（contract may not be transferred， according to the provisions of laws)。第84條規(guī)定：“債務(wù)人將合同的義務(wù)全部或者部分轉(zhuǎn)移給箄三人，應(yīng)當(dāng)經(jīng)債權(quán)人同意（The transfer to a third party of all or part of the debtor's obligations as prescribed in the contract shall be approved by the creditor)。第87條規(guī)定：“法律、行政法規(guī)規(guī)定轉(zhuǎn)讓權(quán)利或者轉(zhuǎn)移義務(wù)應(yīng)當(dāng)辦理批準(zhǔn)、登記等手續(xù)的”依照其規(guī)定” (If the transfer of rights or obligations shall go through the approval and registration procedures according to the provisions of laws or administrative regulations，the parties shall act accordingly) 。
合同權(quán)利和義務(wù)的全部或部分的轉(zhuǎn)讓或轉(zhuǎn)移常見于中外合資經(jīng)營企業(yè)合同之中。根據(jù)《中外合資經(jīng)營企業(yè)法實施條例》（Regulations for the Implementation of the Law of the People's Republic of China on Sino-foreign Joint Ventures)規(guī)定：合營一方向第三方轉(zhuǎn)讓全部或部分出資額必須符合以下條件：1.須經(jīng)合營他方同意，并經(jīng)審批機構(gòu)批 準(zhǔn)；2.合營一方轉(zhuǎn)讓其全部或部分出資額時，合營他方有優(yōu)先購買權(quán)（Pre-emptive right): 3.合營一方向第三方轉(zhuǎn)讓出資額的條件，不得比向合營他方轉(zhuǎn)讓的條件優(yōu)惠。違反上述條件的，其轉(zhuǎn)讓無效（No assignment shall be effective)。
